STANDARD TERMS AND CONDITIONS OF SALE


1. Scope of Application

These Terms and Conditions apply to all sales of products and/or services provided by MyCompany, unless otherwise expressly agreed in writing.

The client expressly waives the application of their own terms and conditions.

2. Orders and Acceptance

All orders placed through our website, application, or other channels constitute an offer to purchase.

An order shall be considered accepted only once confirmed by MyCompany, either electronically or in writing.

3. Prices

All prices are stated in Ngultrum (Nu.), unless otherwise indicated.

Prices may exclude delivery charges, taxes, or duties unless explicitly stated.

We reserve the right to modify prices at any time, but the price charged will be the one applicable at the time of order confirmation.

4. Payment Terms

Prepaid Orders (Online Store)

  • All online purchases must be paid in full at the time of order

  • Orders will be processed only after successful payment

  • An invoice will be generated automatically upon payment confirmation

Credit / Postpaid Invoices

  • Credit terms apply only if expressly agreed in writing

  • Invoices under credit terms are payable within 21 working days

  • Late payments may attract interest of 10% per annum

If payment remains outstanding beyond 60 days, recovery action may be initiated, and all associated legal and recovery costs shall be borne by the client.

5. Taxes and Withholding

Any withholding tax or similar charges imposed by local legislation shall be borne exclusively by the client.

The full invoice amount remains payable to MyCompany.

6. Delivery of Goods / Provision of Services

We will use reasonable efforts to deliver products or perform services within the agreed timeframe.

However, delivery timelines are indicative only and do not constitute a guarantee.

Risk of loss or damage to goods passes to the client upon delivery.

7. Returns, Refunds, and Cancellations

Returns or cancellations are subject to our Return & Refund Policy, available on our website.

Products must be returned in original condition unless defective.

Refunds, where applicable, will be processed using the original payment method.

8. Warranty and Liability

Products are covered only by the warranties explicitly stated at the time of sale.

Except in cases of gross negligence or willful misconduct, MyCompany shall not be liable for indirect, incidental, or consequential damages.

Our total liability shall never exceed the amount paid by the client for the relevant product or service.

9. Claims and Complaints

Any claim must be notified in writing by registered mail within 8 days of delivery of goods or completion of services.

Failure to do so will result in the claim being deemed inadmissible.

10. Force Majeure

We shall not be held liable for failure or delay in performance due to events beyond our reasonable control, including but not limited to natural disasters, government actions, strikes, or technical failures.

11. Intellectual Property

All content, logos, designs, software, and materials provided by MyCompany remain our exclusive intellectual property and may not be used without prior written consent.

12. Data Protection

Client data is handled in accordance with applicable data protection laws of Bhutan.

13. Termination

We reserve the right to terminate any contract or service immediately in case of breach of these Terms and Conditions.

14. Governing Law and Jurisdiction

All contractual relationships shall be governed exclusively by the laws of the Kingdom of Bhutan.

Any dispute shall fall under the exclusive jurisdiction of the competent courts of Bhutan.
